Terms of Use.

Conditions for using the Genuo platform by buyers, sellers, and other users.

1. Company identification

These Terms of Use govern access to and use of the Genuo platform, provided by:

Hereinafter referred to as Genuo.

2. Acceptance of Terms

By accessing, browsing, or using the Genuo platform, the user declares to have read, understood, and fully accepted these Terms of Use, as well as the linked Privacy Policy. If the user does not agree with any provision, they must refrain from using the platform.

3. Platform Purpose

Genuo is a B2B corporate procurement platform connecting business buyers and sellers in an auditable environment, offering:

  • Access to a base of qualified, homologated suppliers;
  • Smart quotations with Applied Cost calculation (price + taxes + freight);
  • Integrated management of quotes, comparisons, and adjudications;
  • An AI layer as a strategic copilot for the buyer;
  • Audit and traceability (Genuo Footprint);
  • Operational squad services (Squad Genuo) on demand.

Genuo acts as a technology facilitator. It is not a party to commercial relationships entered into between buyers and sellers through the platform, except when expressly contracted for that purpose.

4. Registration and User Account

4.1 Eligibility

Legal entities duly incorporated, represented by agents with appropriate authority, may register. Individual user registration is restricted to authorized personnel of the legal entity user.

4.2 Truthfulness of information

The user agrees to provide truthful, complete, and updated information, and to keep registration data accurate at all times.

4.3 Account security

Access credentials are personal and non-transferable. The user is responsible for all actions performed in their account and must notify Genuo immediately in case of misuse or suspected compromise.

5. User Obligations

The user agrees to:

  • Use the platform exclusively for lawful purposes in compliance with applicable law;
  • Not perform reverse engineering, decompilation, scraping, or any unauthorized data extraction;
  • Not circumvent security, audit, or tracking mechanisms;
  • Maintain confidentiality of third-party commercial information accessed through the platform;
  • Conduct all transactions originating on the platform exclusively within the Genuo environment. Direct buyer↔seller communication outside the platform to close deals identified through Genuo is prohibited, under penalty of retroactive commission billing and contract termination;
  • Respect intellectual property rights of Genuo and third parties.

6. Commercial Model

Genuo operates under a commission model on transactions intermediated by the platform, according to specific terms agreed with each client. Commission is transparent and disclosed in advance. Values, payment terms, and other commercial conditions are established in a specific contract or commercial proposal.

7. Intellectual Property

All intellectual property rights over the Genuo platform — including software, source code, trademarks, visual identity, editorial content, and proprietary concepts (Applied Cost, Seller Genuo, Squad Genuo, Genuo Footprint, Genuo Pass, Genuo Score, Intelligence Layer, The 4 Genius Steps, Modelo Carona, TrustedLink) — are the exclusive property of Genuo or its licensors.

8. Limitation of Liability

Genuo uses best efforts to keep the platform available and secure. However, it does not guarantee uninterrupted availability, complete absence of errors, or specific commercial outcomes. Genuo is not liable for acts or omissions of registered sellers or buyers, or for damages arising from improper use of the platform by the user or third parties.

9. Account Suspension and Termination

Genuo may suspend or terminate access of any user in cases of breach of these Terms, illegal acts, provision of false information, harmful behavior to other users, or attempts to circumvent audit mechanisms.

10. Privacy and Data Protection

Personal data processing by Genuo is governed by the Privacy Policy, an integral part of these Terms, in compliance with Brazilian Law No. 13,709/2018 (LGPD — General Data Protection Law) and applicable local legislation.

11. Modifications to the Terms

Genuo reserves the right to modify these Terms at any time. Material changes will be communicated by email or platform notification at least 30 (thirty) days before entering into force.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The forum of the District of Balneário Camboriú/SC, Brazil, is elected to resolve any disputes arising from this document, with express waiver of any other.
